Kirkland & Ellis Advises CD&R on $10.3 Billion Acquisition of Sealed Air

"Kirkland & Ellis advised private investment firm Clayton, Dubilier & Rice (CD&R) on a definitive agreement to acquire Sealed Air Corporation in an all-cash transaction valuing the company at $10.3 billion. Sealed Air stockholders will receive $42.15 per share. The deal, unanimously approved by Sealed Air’s board, is expected to close in mid-2026, subject to stockholder approval, regulatory clearances and customary conditions."

Kirkland & Ellis advised private investment firm Clayton, Dubilier & Rice (CD&R) in connection with CD&R's definitive agreement to acquire Sealed Air Corporation (NYSE: SEE). The transaction is an all-cash acquisition with an enterprise value of $10.3 billion. Under the terms of the agreement, Sealed Air stockholders will receive $42.15 in cash per share. The transaction has been unanimously approved by Sealed Air’s Board of Directors and is expected to close in mid-2026, subject to the receipt of stockholder approval, regulatory clearances and the satisfaction of other customary closing conditions.
