Latham & Watkins Advises Sealed Air on US$10.3 Billion Take-Private Acquisition by CD&R

"Latham & Watkins LLP advised Sealed Air Corporation on its definitive agreement to be acquired by funds affiliated with Clayton, Dubilier & Rice (CD&R) in an all-cash transaction with an enterprise value of US$10.3 billion. Sealed Air will become privately held and its common stock will cease trading on the NYSE upon closing."

Sealed Air Corporation (NYSE: SEE), a leading global provider of food and protective packaging solutions, entered into a definitive agreement to be acquired by funds affiliated with CD&R in an all-cash transaction with an enterprise value of US$10.3 billion. Under the terms of the agreement, Sealed Air will become a privately held company and its common stock will no longer be traded on the New York Stock Exchange upon closing. CD&R is described as a leading private investment firm with deep experience in the industrial and packaging industries.
