GardaWorld Completes US$650 Million Offering of 6.500% Senior Secured Notes Due 2031

Simpson Thacher represented Garda World Security Corporation (GardaWorld) in the transaction. The transaction consisted of an offering of US$650 million aggregate principal amount of 6.500% Senior Secured Notes due 2031 (the "Notes"), conducted in reliance on Rule 144A and Regulation S under the Securities Act of 1933, as amended. GardaWorld intends to use the net proceeds from the Notes offering (i) to finance the redemption of its 4.625% Senior Secured Notes due 2027 (the "2027 Notes Redemption"); (ii) to pay fees and expenses related to the Notes offering and the 2027 Notes Redemption; and (iii) for general corporate purposes.
