Simpson Thacher Represents Joint Lead Managers in Korea Electric Power US$1 Billion Senior Unsecured Notes Offering

Simpson Thacher, acting as sole international counsel, represented Citigroup Global Markets Inc., J.P. Morgan Securities plc, Merrill Lynch International and The Hongkong and Shanghai Banking Corporation Limited as joint lead managers in connection with an offering by Korea Electric Power Corporation. The transaction comprised an offering under Korea Electric Power Corporation’s Global Medium Term Note programme of US$400 million 4.125% Senior Unsecured Notes due 2030 and US$600 million Floating Rate Senior Unsecured Notes due 2028, for an aggregate principal amount of US$1.0 billion. The offering was conducted in reliance on Rule 144A and Regulation S under the U.S. Securities Act of 1933, as amended. Korea Electric Power Corporation is an integrated electric utility engaged in the transmission and distribution of substantially all electricity in Korea. Through six wholly owned generation subsidiaries it produces the substantial majority of electricity generated in Korea and, as a predominant market participant in the Korean electric power industry, provides a full range of services including power plant construction and specialised engineering and maintenance. Korea Electric Power Corporation is listed on the Korea Exchange and the New York Stock Exchange. Simpson Thacher represented the joint lead managers Citigroup Global Markets Inc., J.P.
