Simpson Thacher Represents Initial Purchasers in Lucid’s $975 Million Upsized Convertible Senior Notes Offering

Simpson Thacher LLP represented the initial purchasers in connection with the offering by Lucid Group, Inc. of convertible senior notes. The transaction comprised an offering of $975 million aggregate principal amount of 7.00% Convertible Senior Notes due 2031 (the Convertible Notes), inclusive of the Convertible Notes sold pursuant to the initial purchasers’ full exercise of their option to purchase additional Convertible Notes. The Convertible Notes were offered to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended. Lucid Group, Inc. is a Silicon Valley–based technology company focused on developing advanced electric vehicles and related technologies.
