Hill Dickinson advised Inflexion-backed Celnor Group on its acquisition of Primary Water Solutions (PWS) Limited and SSG Training & Consultancy Limited (SSG). The transactions see Celnor Group, a provider of critical data for compliance, safety and sustainability purposes and backed by private equity house Inflexion, add two complementary businesses to its portfolio as part of an ongoing consolidation strategy in the testing, inspection, certification and compliance (TICC) market. PWS, established in 2011 and based in Gloucester, is an independent consultancy specialising in water and air hygiene with a particular emphasis on managing risks from waterborne pathogens such as Legionella. Its services include risk assessments, monitoring programmes and tailored training to help organisations meet legal and safety obligations; its client base includes the NHS, local authorities, schools, colleges and private sector businesses across the UK. SSG, founded in 1997, provides health and safety, environmental and HR compliance services, delivering accredited training courses, professional consultancy and an ADVISOR membership scheme to support organisations in achieving compliance and improving performance. SSG is based in the South West and serves clients nationally and internationally. Celnor’s management described the acquisitions as strategic additions that will strengthen the group’s risk management and safety and compliance divisions and provide a broader range of expertise to meet evolving compliance and risk management challenges.
