Russo De Rosa Associati Advises on Groupe Premium Entry into Grifo Group

Russo De Rosa Associati represented Grifo Group and its founding shareholders Bernardo Franchi, Anna Sacchi, Marcella Tenti and Giuliano Perego. The transaction concerns the entry of Groupe Premium, a French asset management group, into the capital of Grifo Group, a leading Italian operator in the insurance, financial and credit intermediation sectors. The operation initiates a strategic cooperation based on strong complementarity between the two groups, intended to generate significant operational and commercial synergies by combining Groupe Premium’s financial strength and capacity for organic growth with Grifo Group’s experience and knowledge of the Italian market. Under the agreement, Grifo Group will act as Groupe Premium’s exclusive partner for development in Italy. The strategic objective of the alliance is to create a European model for insurance, pension and wealth management. The founding shareholder of Grifo Group, Bernardo Franchi, together with principal shareholders Anna Sacchi, Marcella Tenti and Giuliano Perego, will retain a significant shareholding and will continue to lead the group's strategy in Italy; Bernardo Franchi will also join Groupe Premium’s strategic committee. Groupe Premium, founded in 2000, is one of the main wealth-management operators in France and the leading independent distributor by inflows on the French market for prominent insurers such as Swiss Life, Abeille Assurances, AG2R, Garance and Groupama Gan Vie. The group has more than 2,000 employees and partners, over €18 billion in assets under management, 150,000 clients and reported revenues of €254 million. Groupe Premium specialises in wealth management across investor profiles, notably insurance brokerage, asset management, wealth advisory and investment solutions. Its shareholders include investment funds Eurazeo, Blackstone and Montefiore, which have supported accelerated organic and external growth. Grifo Group is a principal Italian player in insurance, savings and credit intermediation.
