CMS Francis Lefebvre Advises Buyers in Acquisition of Naïo Technologies

"CMS Francis Lefebvre advised the newly formed acquiring vehicle Naïo (constituted with Mirova, Bpifrance and the Occitanie region) in the purchase of Naïo Technologies. The insolvent company was represented by RESCUE and AJLINK acted as the court-appointed administrator."

CMS Francis Lefebvre, RESCUE and AJLINK participated in the transaction: CMS Francis Lefebvre advised the acquiring company Naïo, constituted with the Mirova fund, Bpifrance and the Occitanie region, in the takeover of Naïo Technologies; RESCUE advised the company in judicial reorganisation; and AJLINK acted as the court-appointed administrator. Naïo Technologies, founded in 2011, pioneered the commercialisation of an electric mechanical weeding robot capable of navigating between vegetable rows using satellite positioning and onboard cameras. The company later extended its product range to include robots for vineyards, large-scale vegetable crops and steep-slope vineyards. Placed in judicial reorganisation, Naïo Technologies' business activities were, pursuant to the Commercial Court's judgment, acquired by Naïo, a newly formed company established by entrepreneur Antoine Monville, former director of diversification at EFI Automotive Service, and Matthias Carrière, former commercial director of Naïo Technologies. The transaction is part of an initiative led by the Occitanie Region, in conjunction with the Regional Agency for Strategic Investments (ARIS), the asset manager Mirova and Bpifrance. CMS Francis Lefebvre represented Naïo (the acquiring vehicle constituted with Mirova, Bpifrance and the Occitanie region) with a team composed by: Guillaume Bouté, counsel (restructuring), Marie Chanet (restructuring), Anaïs Arnal (intellectual property), Thomas Hains, partner (corporate), Matthieu Rollin (corporate) and Jérôme Sutour, partner (banking law). RESCUE represented the company in judicial reorganisation (Naïo Technologies) with a team composed by: Sollenn Schlatter and Serge Pelletier. AJLINK acted as the court-appointed administrator with a team composed by: Sébastien Vigreux.
