Genenta Science completes $15 million registered direct offering with Maxim Group and Rodman & Renshaw

The transaction involved LEXIA advising Genenta Science on Italian law, Orrick, Herrington & Sutcliffe LLP advising Genenta on U.S. law, and Fenwick & West LLP advising Genenta on U.S. intellectual property matters; Ellenoff Grossman & Schole LLP and Chiomenti advised the placement agents on U.S. and Italian law respectively. Genenta Science, an Italian company listed on the U.S. Nasdaq, concluded a registered direct offering that resulted in the issuance of new American Depositary Shares (ADS) to certain U.S. institutional investors for an aggregate consideration of approximately $15 million. The offering was conducted in favor of those institutional investors following the execution of the applicable securities purchase agreement and included Maxim Group LLC as lead placement agent and Rodman & Renshaw LLC as co-placement agent. For the purposes of the offering, Genenta filed a supplement to its previously filed base prospectus with the U.S. Securities and Exchange Commission (SEC), which had been declared effective by the SEC.
