Genenta Science completes $15 million registered direct offering with Maxim Group and Rodman & Renshaw

"Genenta Science completed a registered direct offering issuing new ADSs for approximately $15 million to certain U.S. institutional investors, with Maxim Group as lead placement agent and Rodman & Renshaw as co-placement agent. LEXIA, Orrick, and Fenwick & West advised Genenta; Ellenoff Grossman & Schole and Chiomenti advised the placement agents."

The transaction involved LEXIA advising Genenta Science on Italian law, Orrick, Herrington & Sutcliffe LLP advising Genenta on U.S. law, and Fenwick & West LLP advising Genenta on U.S. intellectual property matters; Ellenoff Grossman & Schole LLP and Chiomenti advised the placement agents on U.S. and Italian law respectively. Genenta Science, an Italian company listed on the U.S. Nasdaq, concluded a registered direct offering that resulted in the issuance of new American Depositary Shares (ADS) to certain U.S. institutional investors for an aggregate consideration of approximately $15 million. The offering was conducted in favor of those institutional investors following the execution of the applicable securities purchase agreement and included Maxim Group LLC as lead placement agent and Rodman & Renshaw LLC as co-placement agent. For the purposes of the offering, Genenta filed a supplement to its previously filed base prospectus with the U.S. Securities and Exchange Commission (SEC), which had been declared effective by the SEC. LEXIA represented Genenta Science for Italian law with a team composed by: managing partner Francesco Dagnino and partners Giacomo Paracchi and Andrea Massimo Maroni, with support from associate Gabriel Zurlo Sconosciuto.
