THEOPARK Advises Insolvency Administrator Volker Böhm on Sale of Parts of CRM Specialist DEFACTO to Vertical Ads Group

THEOPARK and PricewaterhouseCoopers Legal advised insolvency administrator Volker Böhm in the sale of the technical business of DEFACTO GmbH to Vertical Ads Group. The transaction: The Nuremberg-based Vertical Ads Group acquired the technical areas of the insolvent DEFACTO GmbH with effect from 3 November 2025. The seller was insolvency administrator Volker Böhm of Schultze & Braun. The transaction preserved the Erlangen location and the majority of DEFACTO's technology operations. Administrative functions, ServiceNow and the Business Consulting division will not be continued. The parties agreed to keep the purchase price confidential. As a result of the transfer of the technical areas, the technologies based on Oracle and Microsoft, together with DEFACTO's proprietary SaaS solution, will continue to be operated and offered under DEFACTO going forward. Vertical Ads Group, headquartered in Nuremberg, is an established performance marketing provider operating across sectors and countries; the company employs around 200 people and reported revenues of €156 million in 2024. No offer was received for DEFACTO's Customer Service and Business Consulting activities due to the difficult market environment. The subsidiaries DEFACTO BeOne and Cintellic Consulting Group are not affected by the insolvency of DEFACTO GmbH.
