Kirkland & Ellis Advises Legence on Agreement to Acquire The Bowers Group

Kirkland & Ellis represented Legence Corp. (Nasdaq: LGN) in connection with its definitive agreement to acquire The Bowers Group, Inc. The transaction will see Legence acquire The Bowers Group, a premier mechanical contractor providing mechanical and plumbing solutions for complex building systems in the Northern Virginia and Washington, D.C. metro region. The acquisition consideration is approximately $475 million, comprised of $325 million in cash (subject to certain purchase price adjustments), approximately $100 million of Legence’s Class A common stock, and $50 million of deferred consideration payable at the end of 2026 in cash or Legence’s Class A common stock at Legence’s discretion. The transaction is expected to close in the first quarter of 2026, subject to customary closing conditions and regulatory approval.
