Proskauer advises Groupe Premium on entry into the capital of Groupe Grifo

"Proskauer advised Groupe Premium on its investment in Groupe Grifo, with Italian firm Giovanelli e Associati handling Italian law aspects. The cross‑border alliance makes Italy Groupe Premium’s first international step and combines Grifo’s local network and assets under management with Premium’s financial strength and growth ambitions to develop a European wealth‑management model."

Proskauer advised Groupe Premium, chaired by Olivier Farouz, in the transaction; Giovanelli e Associati intervened on the Italian law aspects of the operation. The transaction consists of Groupe Premium taking an equity stake in Groupe Grifo, one of Italy’s leading insurance brokers and operators in finance and credit intermediation. The move marks Groupe Premium’s strategic decision to internationalise, selecting Italy as its initial step into foreign markets and positioning the alliance as a foundation for a broader European model of wealth management. The partnership is intended to support ambitious external growth for both groups. Groupe Grifo, with a territorial anchorage, a network of 350 Business Advisors and more than 65,000 clients, today manages nearly one billion euros of assets and is established as a trusted partner in Italy. Under the agreement, Groupe Grifo will become Groupe Premium’s exclusive partner in Italy while retaining its brand and identity. Founder Bernardo Franchi will remain a significant shareholder, continue to lead the country strategy and will join Groupe Premium’s management board in Paris. The alliance seeks to combine Grifo’s Italian market experience with Premium’s financial strength, strong organic growth and development capacity to build a durable, high‑performing joint model. Proskauer represented Groupe Premium with a team composed by: Jeremy Scemama (Partner — M&A/PE), Aurélie Briquet (Associate — M&A/PE), Mohamed Kettani (Associate — M&A/PE) and Lou Thauvin (Legal Counsel — M&A/PE). Giovanelli e Associati acted on the Italian law aspects of the transaction for Groupe Premium with a team composed by: Alessandro Giovannelli (Partner — M&A) and Matteo Bruni (Senior Associate — M&A).
