Pavia e Ansaldo Advises RMS on Acquisition of GES

Pavia e Ansaldo assisted RMS in the transaction, with Kon Group acting as exclusive financial advisor to RMS and Agem – Russell Bedford conducting the financial and tax due diligence. The transaction involved the acquisition by RMS of GES, a Basque company founded in 1941 that specialises in the production of motorcycle saddles and in the distribution of accessories and components for bicycles across Spain, France and Portugal. RMS is active in the production and distribution of accessories and spare parts for pedal and electric bicycles, as well as for motorcycles and scooters. From its headquarters in Seregno, RMS serves more than 6,000 customers worldwide, offers over 50,000 product codes and continues to invest in new services and product innovation. Pavia e Ansaldo represented RMS with a team composed by: partner Meritxell Roca; associates Javier Vicente and Silvia Galbusera, operating from the firm’s Barcelona, Madrid and Milan offices. Kon Group represented RMS as exclusive financial advisor with a team led by partner Lorenzo Porciani; the team coordinated with RMS and the other advisors to manage the financing structure, negotiation strategy and closing of the operation. Agem – Russell Bedford acted for RMS, carrying out the financial and tax due diligence.
