SAM and Clove Legal advise on JK Paper's ₹235 crore acquisition of Borkar Packaging

Shardul Amarchand Mangaldas & Co advised JK Paper Limited, and Clove Legal represented Borkar Packaging Private Limited and the selling Borkar family. The transaction involved JK Paper Limited acquiring a majority stake in Borkar Packaging Private Limited through a combination of primary infusion and secondary investment. The first tranche resulted in the acquisition of a 72% equity stake for a consideration of ₹235 crore. Subsequent tranches, to be completed within four years from the closing of the first tranche, will cumulatively result in a 100% acquisition of the company. The acquisition forms part of JK Paper’s inorganic growth strategy to strengthen its capabilities in the folding cartons space and to reinforce its position in the broader paper packaging landscape.
