Stora Enso prepares listing of its Swedish forest assets business

Roschier advised Stora Enso on its announced intention to list its Swedish forest assets business on Nasdaq Stockholm and Nasdaq Helsinki. Stora Enso plans to effect the separation through a statutory cross-border demerger that will create a new Swedish company to be listed immediately after completion of the demerger. The listing is planned to take place during the first half of 2027. The planned structure, supported by the company’s largest shareholders Solidium Oy and FAM AB, is described as one of the most significant corporate steps in Stora Enso’s recent history and introduces a new chapter for the company’s Swedish forest business. The initiative aims to sharpen strategic focus, simplify the group structure and unlock long-term value for shareholders. The newly listed entity is intended to become Europe’s largest pure-play forest company, while Stora Enso will continue to strengthen its position in renewable materials and packaging.
