Latham & Watkins LLP represented Voyager Technologies, Inc. (NYSE: VOYG) in the transaction. Voyager Technologies, Inc. settled a previously announced private offering of US$435 million aggregate principal amount of 0.75% convertible senior notes due 2030, sold to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933. The offering was increased from the originally announced size of US$300 million aggregate principal amount of notes. Voyager also granted the initial purchasers an option to purchase, for settlement within 13 calendar days from and including the date the notes were first issued, up to an additional US$65 million aggregate principal amount of notes solely to cover over‑allotments.
