Benesch Advises Honeywell on Successful Spin-Off of Solstice Advanced Materials

Benesch served as legal counsel to Honeywell (NASDAQ: HON) in the successful spin-off of its Advanced Materials business, which now operates as Solstice Advanced Materials. The transaction separated Honeywell’s Advanced Materials business into an independent, publicly traded company. Shares of Solstice common stock began trading on the Nasdaq Stock Market under the ticker symbol SOLS. The spin-off was completed through the distribution of Solstice common stock to Honeywell shareowners of record and forms part of Honeywell’s strategic plan to create three independent, industry-leading companies with distinct strategies and growth trajectories. Benesch led the spin-off workstream, conducting comprehensive contract analyses and overseeing the operational and legal separation of the businesses to ensure a seamless transition for all parties. The year-long project drew on the firm’s cross-practice capabilities and involved more than 50 Benesch attorneys working across transactional, corporate and operational matters to navigate the legal and operational complexities of the separation.
