Occhiuto Legal Advises Holding Parts (Hind) on Acquisition of Omec through Coram

Occhiuto Legal, BCA Legal, the law firm of Luigi Paganelli and Notary Gallo Orsi participated in the transaction: Occhiuto Legal assisted Holding Parts (HParts) — a subsidiary of Holding Industriale (Hind) — and Coram in the acquisition of Omec; BCA Legal handled labour due diligence and employment law aspects for the purchaser; Omec was assisted by the law firm of Luigi Paganelli; notarial aspects were handled by Notary Gallo Orsi of Turin. The transaction concerns the acquisition, by Holding Parts (HParts) through Coram, of Omec, a long-established company from the Brianza area founded in 1960 and active in spare parts and accessories for automotive applications. The deal is part of HParts’ strategic growth and consolidation plan aimed at creating an Italian aggregation hub of excellence in the aftermarket sector. With the acquisition of Omec, the HParts group expands to a perimeter of five portfolio companies, employing more than 150 staff and reporting aggregate annual revenues of approximately €30 million. The integration brings over 350 product references, an in-house quality laboratory certified by TÜV and an international customer base of OEMs and distributors, enhancing the group’s competitiveness on domestic and foreign markets.
