TLT advises Eiffel Investment Group and BTS on Deutsche Bank financing for nine biomethane plants in Italy

TLT and Studio Legale Volpe advised Green One, the joint venture between BTS DevCo (BTS Group) and Eiffel Gaz Vert (Eiffel Investment Group); TLT led on the negotiation of the English-law finance documents and managed the project finance aspects, while Studio Legale Volpe acted as Italian counsel to Green One. The transaction comprises a multimillion-euro debt project financing provided by Deutsche Bank to support the development of nine biomethane plants across multiple regions of Italy. The financing is presented as a significant private-sector contribution to Italy’s biomethane programme under the PNIEC and PNRR frameworks and supports the national ambition to produce 5.7 billion m³ of biomethane annually by 2030, reinforcing Italy’s position in renewable gas. The package enables the construction and conversion of nine plants that will convert agricultural waste and residues into renewable gas, supporting local farmers and SMEs, advancing the circular economy and enhancing energy independence. BTS Group, through its subsidiary BTS Biogas, brings over 25 years of experience in anaerobic digestion technology and has designed and built more than 270 biogas and biomethane plants worldwide. Eiffel Gaz Vert has been an early and active private investor in Italy’s biomethane sector, providing financing to accelerate green-gas infrastructure deployment alongside industrial partners. TLT advised Green One on the negotiation of the English-law finance documents and managed all aspects of the project finance transaction, coordinating with Studio Legale Volpe to achieve financial close. The deal was led within TLT’s Project Finance and Banking teams and completed in cooperation with Green One, Eiffel and Deutsche Bank.
