Freshfields Advises Evotec on Sale of Just–Evotec Biologics EU to Sandoz

Freshfields represented Evotec in the sale of its French subsidiary Just–Evotec Biologics EU to Sandoz and advised on a related technology licence agreement. The transaction comprises the sale of Evotec’s French subsidiary Just–Evotec Biologics EU to Sandoz and a concurrent technology licence that enables Sandoz to use Just–Evotec Biologics’ continuous manufacturing technology. As part of the deal, Evotec transferred biosimilar manufacturing resources at its Toulouse site, allowing Sandoz to produce biosimilars using the acquired continuous manufacturing capabilities. Freshfields described the transaction as a key step in Evotec’s move toward a less capital‑intensive model and as deepening the companies’ long‑standing collaboration. Consideration for the share sale amounts to approximately USD 350 million, with additional performance‑ and technology‑related payments, milestones and royalties exceeding USD 300 million.
