Orrick and Legance advise on Labomar private placement subscribed by Tikehau Capital-managed funds

The financing supports partial debt refinancing, capex and group expansion including the acquisition of Finland-based Pharmia Oy; Banca Finint acted as paying agent, security agent and bondholders' representative."

Orrick and Legance advised the principal parties in the transaction: Orrick represented Labomar, a portfolio company of Charterhouse Capital Partners, in the issuance of the private placement bond, while Legance assisted the private debt funds managed by Tikehau Capital in the related unitranche financing. The transaction comprised the issuance of a bond in the form of a private placement subscribed by funds managed by Tikehau Capital. The proceeds are intended, among other purposes, to refinance part of Labomar's existing financial indebtedness, to support the group's capex plan and to fund expansion through new acquisitions, notably the acquisition of Finland-based Pharmia Oy, active in dietary supplements and medical devices. Banca Finint acted as paying agent, security agent and representative of the bondholders. Orrick represented Labomar and Charterhouse Capital Partners with a team composed by: partner Marina Balzano; senior associate Filippo Nola; and trainee Elisa Zaccaria. Legance represented the private debt funds managed by Tikehau Capital with a team led by partner Tommaso Bernasconi and counsel Andrea Mazzola, and also composed of associate Mattia Longo and senior counsel Riccardo Petrelli, who followed the tax aspects of the transaction.
