Law Firms Advising ART on Acquisition of M.A.E. Elettronica

The law firms PedersoliGattai, Giliberti Triscornia & Associati, GA-Alliance and Russo De Rosa Associati participated in the transaction, respectively assisting ART (the buyer), Holding Vittoria (the seller), UniCredit and Banco BPM in their financing roles, and advising on the transaction structure and the group reorganisation preparatory to the sale. Transaction description: Art, an Italian leader in the supply of connected infotainment systems and digital cockpits for luxury sports cars, has acquired M.A.E. Elettronica. M.A.E. Elettronica, founded in 1977 by the Gravalini family and based in Medolago, specialises in the supply of dashboard systems, control units and sensors for motorcycles. The acquisition establishes an advanced technological hub in which Made in Italy know-how, creativity and production capacity are combined to develop innovative electronic solutions with strong international competitiveness. PedersoliGattai represented ART with a team composed by: partner Alessandro Marena (corporate partner), senior associate Leo Belloni (corporate), and associate Anastasia Cichetti (corporate) for the acquisition and related corporate matters; senior counsel Marcello Legrottaglie (finance) and associate Davide Stracquadanio (finance) for matters related to the financing of the transaction. Giliberti Triscornia & Associati represented Holding Vittoria (seller) with a team composed by: partner Edoardo Mistretta (M&A partner), partner Giovanni Olivares (M&A), and associates Alessandro Arcidiacono and Lorenzo Moricone (associates in corporate/M&A). GA-Alliance assisted UniCredit (in the roles of agent, SACE agent and global coordinator) and, together with Banco BPM as mandated lead arranger and initial financier, in structuring and executing the financing. The multidisciplinary team was coordinated by partner Angelo Alfonso Speranza and comprised counsel Paola Sepe, associate Mario Emanuele Panu and trainee Francesca Cattaneo. Partner Carlo Cugnasca handled the tax aspects.
