Linklaters Advises Standard Profil Automotive GmbH on Restructuring of c. EUR 350 Million Indebtedness

"Linklaters advised Standard Profil Automotive GmbH on the restructuring of approximately EUR 350 million of financial liabilities. The English-law governed EUR 275 million senior secured notes were restructured via a Part 26 scheme of arrangement under the UK Companies Act 2006. Existing facilities were replaced and existing creditors provided a EUR 145 million cash injection and will acquire equity in the Standard Profil Group."

Linklaters advised Standard Profil Automotive GmbH on the restructuring of its financial indebtedness. The transaction restructured the company's approximately EUR 350 million of financial liabilities. The restructuring of the English-law governed EUR 275 million senior secured notes was implemented by way of a scheme of arrangement under Part 26 of the UK Companies Act 2006 and was sanctioned by the High Court of Justice of England and Wales. As part of the measures, the existing senior secured notes, term loan and bridge financing were replaced by new financial instruments, creating a sustainable capital structure and facilitating a cash injection of EUR 145 million by existing creditors, who will also acquire equity ownership of the Standard Profil Group. Standard Profil Group, headquartered in Eschborn, is a global automotive supplier specialising in the development and production of sealing systems for the automotive industry.
