Gleiss Lutz Advises Northern Data on Business Combination Agreement With Rumble

"Gleiss Lutz advised Northern Data AG, with U.S. law advice from Latham & Watkins, on a business combination agreement with Rumble Inc. under which Rumble intends a tender offer for 100% of Northern Data shares: 2.0281 Rumble Class A shares per Northern Data share plus potential cash payments up to USD 200 million. Closing expected Q2 2026, subject to conditions and approvals."

Gleiss Lutz advised Northern Data AG, and Latham & Watkins provided U.S. law advice to Northern Data, in connection with Rumble Inc.’s proposed business combination and intended tender offer for Northern Data. The transaction contemplates Rumble’s intention to launch a tender offer for 100% of the outstanding shares of Northern Data. Each Northern Data shareholder who tenders its shares would receive 2.0281 newly issued Rumble Class A common shares for each Northern Data share. The tender offer also provides for a potential cash payment to Northern Data shareholders who accept the tender offer, as well as to other shareholders who have agreed to sell their shares to Rumble, in an aggregate amount of up to USD 200 million. The transaction is expected to close in the second quarter of 2026, subject to the satisfaction of customary closing conditions and receipt of required regulatory approvals.
