Latham & Watkins Advises Atlas Warehouse Lending Company on US$1.5 Billion Senior Notes Offerings

"Latham & Watkins LLP represented Atlas Warehouse Lending Company, L.P. in private Rule 144A offerings arranged by ATLAS SP Partners, the warehouse finance and securitized products business majority owned by Apollo funds. AWLC priced US$750m 4.625% senior notes due 2028 and US$750m 4.950% senior notes due 2030; the offerings are expected to close Nov. 13, 2025, subject to customary conditions."

Latham & Watkins LLP represented Atlas Warehouse Lending Company, L.P. in connection with senior notes offerings announced by ATLAS SP Partners, the warehouse finance and securitized products business majority owned by Apollo funds. ATLAS SP Partners announced the pricing of a private offering under Rule 144A of the Securities Act of 1933 to eligible purchasers. Atlas Warehouse Lending Company, L.P. priced US$750 million in aggregate principal amount of 4.625% senior notes due 2028 and US$750 million in aggregate principal amount of 4.950% senior notes due 2030, for a combined offering total of US$1.5 billion. The offerings are expected to close on November 13, 2025, subject to customary closing conditions.
