Latham & Watkins LLP represented Precision BioSciences, Inc. (Nasdaq: DTIL) in connection with an underwritten securities offering. The transaction consists of an underwritten offering by Precision of 10,815,000 shares of its common stock together with warrants to purchase up to 5,407,500 shares of common stock at a combined price of US$6.14 per share and accompanying warrant. In lieu of common stock for certain investors, Precision agreed to issue pre‑funded warrants to purchase up to 1,400,000 shares of its common stock together with one‑half of a warrant to purchase up to 700,000 shares of common stock at a combined price of US$6.139995. The US$6.139995 price reflects the per‑share offering price for the shares of common stock less a US$0.000005 per‑share exercise price for each pre‑funded warrant. The gross proceeds to Precision from the offering, before deducting underwriting discounts and commissions and offering expenses, are expected to be approximately US$75 million. The offering is expected to close on or about November 12, 2025, subject to customary closing conditions.
