Latham & Watkins Advises BlackRock on US$500 Million Equity Investment in Avalara

Latham & Watkins represented an investor group led by BlackRock’s Private Financing Solutions in an equity investment involving Avalara, Inc.; Vista Equity Partners remains the company’s majority shareholder. Avalara, the tax and compliance software provider, announced it has closed a US$500 million equity investment from an investor group led by BlackRock’s Private Financing Solutions group. Vista Equity Partners, which first invested in Avalara in 2022, will remain the company’s majority shareholder. All of the proceeds from the transaction were used to purchase shares from existing shareholders. Latham & Watkins represented the investor group led by BlackRock’s Private Financing Solutions with a team composed by: partner Stelios Saffos, Global Chair of Latham’s Capital Markets Practice; partners Peter Sluka and John Miller; associates Ian Lachow, Yulong Li and Samantha Pannone; partners Jocelyn Noll and Pardis Zomorodi, who provided advice on tax matters; and partner Patrick English together with counsel Philipp Studt and Wesley Lepla, who advised on regulatory matters.
