Mobiliare Real Estate Solutions Issues $500 Million of 6.750% Senior Notes Due 2032

Davis Polk represented BofA Securities, Inc. and J.P. Morgan Securities LLC as initial purchasers in connection with an offering by Mobiliare Latam, S.A. ("Mobiliare Holding") and Mobiliare Latam México, S.A. de C.V., as co-issuers. The transaction comprised an offering of $500 million aggregate principal amount of 6.750% senior notes due 2032 issued by Mobiliare Latam, S.A. and Mobiliare Latam México, S.A. de C.V. The notes were sold in an offering exempt from registration pursuant to Rule 144A and Regulation S and are guaranteed by certain subsidiaries of Mobiliare Holding. Mobiliare is a Latin American real estate operating company focused on owning, developing and managing real estate assets. The company currently operates in nine countries — Guatemala, Peru, Mexico, Costa Rica, El Salvador, Colombia, Ecuador, Honduras and Nicaragua — and offers a one-stop solution serving multinational and regional tenants in local distribution, manufacturing, supply chain and service delivery operations.
