Taylor Morrison Completes $525 Million Offering of 5.750% Senior Notes and Concurrent Tender Offer

Simpson Thacher LLP represented Taylor Morrison Communities, Inc., a wholly owned subsidiary of Taylor Morrison Home Corporation, in the transaction. The issuer completed an offering of $525 million aggregate principal amount of 5.750% Senior Notes due 2032 in reliance on Rule 144A and Regulation S and commenced a concurrent tender offer for any and all of its outstanding 5.875% Senior Notes due 2027 (the 2027 Notes). The issuer is using the net proceeds from the notes offering, together with cash on hand, to (i) purchase the 2027 Notes validly tendered and not validly withdrawn in the concurrent tender offer, (ii) redeem all of the 2027 Notes not purchased in the tender offer, and (iii) redeem all of its outstanding 6.625% Senior Notes due 2027 and the outstanding 6.625% Senior Notes due 2027 issued by William Lyon Homes, Inc., an indirect wholly owned subsidiary of the issuer.
