Slaughter and May Advises Nexture on Acquisition of Frulact from Ardian‑Advised Funds

Slaughter and May advised Nexture, an independently managed investment company affiliated to Investindustrial, on the acquisition of Frulact, and worked on the transaction with an integrated team including Uría Menéndez, Hengeler Mueller, Bredin Prat, Cornet Vincent Ségurel, Hughes Hubbard & Reed, Bär & Karrer, Bennani & Associés, Blakes Cassels & Graydon, Bowmans and Chiomenti. The transaction will see Nexture acquire Frulact, a leading global manufacturer of fruit‑based speciality ingredients, liquid flavours and plant‑based ingredients, from funds advised by Ardian. The acquisition is intended to strengthen Nexture’s capabilities in developing and innovating fruit‑based preparations and value‑added solutions and to broaden the group’s global reach into North America and Africa. Following completion, the combined group would have estimated revenues of approximately €1.1bn, 24 factories worldwide and around 2,700 employees. Completion of the acquisition is subject to customary regulatory approvals in a number of jurisdictions and is expected to take place in Q1 2026.
