Latham & Watkins Advises EFC Gases & Advanced Materials on Acquisition by Element Solutions Inc

"Latham & Watkins LLP represented EFC Gases & Advanced Materials in its agreement to be acquired by Element Solutions Inc (NYSE: ESI). Element Solutions will acquire EFC for approximately 12x forecasted 2026 adjusted EBITDA in cash. Latham & Watkins LLP represented EFC Gases & Advanced Materials in connection with the announced acquisition by Element Solutions Inc. Element Solutions Inc (NYSE: ESI), a global and diversified specialty chemical technology company, has signed a definitive agreement to acquire EFC Gases & Advanced Materials for approximately 12x forecasted 2026 adjusted EBITDA in cash. The transaction is expected to be completed by the end of 2025, subject to certain regulatory approvals and customary closing conditions. EFC provides high‑purity specialty gases and advanced materials to industries including semiconductor manufacturing, aerospace and electrical infrastructure.
