Mourant advises on record-breaking £5.2bn sale of Barchester Healthcare to Welltower

Mourant represented Barchester Healthcare in its £5.2 billion disposal to Welltower, acting for Barchester on the offshore corporate, finance and real estate elements of the transaction. The transaction comprised the disposal of Barchester Healthcare to US real estate investor Welltower in a deal understood to be the world’s largest-ever care home transaction. Barchester, one of the UK’s leading independent care providers, operates more than 250 care homes and seven registered hospitals and employs over 17,000 staff. Contracts were exchanged on 11 September 2025 and completion took place on 16 October 2025. Mourant advised on the offshore corporate, finance and Jersey real estate aspects of the disposal, with parallel BVI law work undertaken as part of the multi-jurisdictional structure.
