A&O Shearman advised the dealer managers Goldman Sachs International, SMBC Bank EU AG and Société Générale in connection with Mundys S.p.A.'s liability management transaction. On October 28, 2025, Mundys S.p.A. announced a liability management transaction addressed to holders of two series of notes: €1,000,000,000 1.875 per cent. Notes due 13 July 2027 (ISIN XS1645722262) and €1,000,000,000 1.875 per cent. Notes due 12 February 2028 (ISIN XS2301390089), originally issued by the company when it was Atlantia S.p.A. The transaction comprised two separate cash tender offers for a cash consideration up to an overall maximum amount equal to EUR 500 million of aggregate nominal value for both series, pursuant to the terms set out in the tender offer memorandum dated October 28, 2025. The Offers formed part of the company’s proactive liability-management activities. Settlement of accepted tenders took place on November 7, 2025.
