A&O Shearman Advises DSBJ on Acquisition of GMD Group and Restructuring of Its Financial Debt

A&O Shearman advised DSBJ PTE. LTD., the subsidiary of Suzhou Dongshan Precision Manufacturing Co., Ltd (DSBJ); FTPA Avocats represented Groupe Mécanique Découpage (GMD) and its subsidiaries; Orsay Avocats advised GMD's historic shareholders; Bird & Bird (Paris) acted for GMD's banking creditors; Weil, Gotshal & Manges LLP (Paris) acted for GMD's bondholders. DSBJ was also assisted on financial aspects by Interpath. The transaction comprised the acquisition by DSBJ of the entirety of the share capital of Groupe Mécanique Découpage (GMD), a leading French automotive subcontractor with operations in France and internationally, together with a coordinated restructuring of GMD's bank and bond debt. The shareholders of GMD and DSBJ engaged to organise the takeover of the group. The parties and GMD's banking and bond creditors reached an agreement providing for the acquisition of GMD's capital and the restructuring of its financial indebtedness. That agreement was approved by the Tribunal des activités économiques de Nanterre and the operations contemplated by the agreement were finalised on Wednesday 30 October 2025. A&O Shearman represented DSBJ PTE.
