CMS Advises Buildcom EOOD on Acquisition of Argus S.A. in Romania

"CMS advised Buildcom EOOD on acquiring a 91.42% stake in listed vegetable oil producer Argus S.A. and, indirectly, 95.36% of Comcereal S.A. Tulcea from Infinity Capital Investments. CMS provided comprehensive legal support, including capital markets advice, legal and tax due diligence, transaction assistance and regulatory filings."

CMS advised Buildcom EOOD on the acquisition of a controlling interest in Argus S.A.; the seller in the transaction was Infinity Capital Investments. The transaction concerns Buildcom EOOD’s acquisition of 91.42% of the shares in Argus S.A., a company listed on the AeRO multilateral trading system managed by the Bucharest Stock Exchange, and, indirectly, 95.36% of the shares that Argus holds in Comcereal S.A. Tulcea. Buildcom EOOD is a leading Bulgarian company trading internationally in agricultural commodities. Argus S.A., founded in 1943 in Constanța, is one of Romania’s oldest vegetable oil producers and is principally engaged in the production and trade of crude and refined oils and fats. CMS provided comprehensive legal assistance to Buildcom EOOD from the outset of the transaction. The firm’s support covered all stages of the acquisition, including capital markets aspects relating to the listed company, legal and tax due diligence, transaction execution and the preparation and filing of required regulatory notifications. CMS represented Buildcom EOOD with a team composed by: Rodica Manea (Corporate M&A Partner), who coordinated the transaction and drew on a longstanding relationship with the client; Cristina Reichmann (Partner and Head of Capital Markets, Financial Institutions & Services and Structured Finance at CMS Romania), who coordinated the capital markets legal aspects with the support of Mircea Ciuta; Rares Crismaru (Corporate M&A), who handled the core transactional work; Claudia Nagy and Vlad Dorneanu, who played key roles on Competition and FDI regulatory filings; Andrei Tercu and Stefan Mitru on Tax matters; Aura Marina and Bianca Banateanu on Real Estate matters; and Elena Andrei on corporate matters.
