A&O Shearman Advises Volcan on USD750 Million Senior Secured Notes Offering and Tender Offer

A&O Shearman represented Peruvian mining company Volcan Compañía Minera S.A.A. in a debt refinancing and liability management transaction relating to the issuance of new senior secured notes and a concurrent tender offer for existing notes. The transaction comprised the offering of USD750 million 8.500% Senior Secured Notes due 2032 and a simultaneous cash tender offer for any and all of Volcan’s outstanding 8.750% Senior Secured Notes due 2030. The deal also involved amendments to the terms of the 8.750% Senior Secured Notes due 2030 and to related collateral documentation. In addition, the transaction included the full prepayment of a syndicated credit facility provided by eleven financial institutions. Volcan Compañía Minera S.A.A. is a Peruvian polymetallic mining company operating in the central Andes, with a portfolio that includes zinc, lead, silver and other minerals important to modern technology and sustainable development.
