PM&Partners acquires majority stake in Bia with support from multiple law firms

Gianni & Origoni advised PM&Partners SGR (manager of the PM&Partners III fund) in the investment to acquire a majority stake in Bia. Ashurst advised Armònia SGR on the co‑investment. Sellers BF Agro Industriale, OCRIM and Investimenti Industriali were assisted by Esiodo S.t.a.p.a. and Herbert Smith Freehills Kramer. Notarial aspects were handled by notary Giovannella Condò. The transaction concerns an investment by PM&Partners SGR, through the PM&Partners III fund, to acquire a majority interest in Bia, a company active in the production and sale of couscous. The investment will be undertaken in partnership with Armònia SGR. BF Agro Industriale and Investimenti Industriali will retain minority shareholdings in Bia. Gianni & Origoni assisted the fund through all phases of the transaction, including the legal due diligence and the negotiation and execution of the binding documentation, comprising the share purchase agreement, the co‑investment agreement relating to TopCo, the reinvestment agreement relating to HoldCo, management agreements and the ancillary documentation necessary to close the deal. Banking financing aspects related to the transaction were also addressed as part of the engagement.
