GA Alliance and BonelliErede Advise on Basket Bond Lazio Programme

GA Alliance and BonelliErede acted in the Basket Bond Lazio programme: GA Alliance advised the arranger, a temporary grouping of Mediocredito Centrale, Banca Finanziaria Internazionale, Banca Finnat Euramerica and Banca Agevolarti, while BonelliErede represented the investors Cassa depositi e prestiti and Mediocredito Centrale. The engagement related to the third and fourth slots of the Basket Bond Lazio initiative for an aggregate countervalue of €8.5 million. The third and fourth slots saw the concurrent issuance of minibonds by Alfa Group, Aalea, Ferrone and JLT Italia. The Basket Bond programme, promoted by the Lazio Region and managed by the in-house company Lazio Innova, has reached a total issuance of €30.5 million of minibonds by 14 small and medium-sized enterprises in Lazio. The initiative is supported by the PR FESR Lazio 2021-2027 and will enable the participating companies to finance development programmes and new investments with impact on the Lazio territory. GA Alliance represented the arranger (the temporary grouping of Mediocredito Centrale, Banca Finanziaria Internazionale, Banca Finnat Euramerica and Banca Agevolarti) with a team composed by: managing partner Francesco Sciaudone (coordinator) and partner Andrea Martina; counsel Paola Sepe, who handled matters relating to the bond issuances and the related securitisation; partner Rosaria Arancio, who followed the relevant administrative law aspects; partner Andrea Neri, who addressed state aid issues; partner Leonida Cagli, who oversaw corporate law matters; and partner Carlo Cugnasca, who managed tax law aspects. GA Alliance also assisted the in-house company Lazio Innova (in a Chinese wall) with a team led by partner Angelo Alfonso Speranza and composed of associate Mario Emanuele Panu and trainee Francesca Cattaneo. BonelliErede represented the investors Cassa depositi e prestiti and Mediocredito Centrale with a team directed by partner Giovanni Battaglia, supported by associate Alberto Zen. Notary Luca Tucci assisted the issuing companies in the adoption of the resolutions for the bond issuances.
