BonelliErede Advises illimity Bank on Sale of Its 50% Stake in Hype to Banca Sella Holding

"BonelliErede advised illimity Bank in the acceptance of Banca Sella Holding’s offer to acquire illimity’s 50% stake in electronic money institution Hype. The transaction has a consideration of €85 million and is subject to customary regulatory approvals; it follows the procedure set out in the shareholders’ agreement of June 2023."

BonelliErede advised illimity Bank in connection with the proposed sale of its equity interest in Hype to Banca Sella Holding. The offer from Banca Sella Holding for the acquisition of the 50% of the capital held by illimity in the electronic money institution Hype has been accepted by illimity Bank. The consideration for the transaction is €85 million. The transaction is currently subject to the obtaining of the customary regulatory authorisations. The operation is consistent with the procedure set out in the shareholders’ agreement executed between illimity Bank and Banca Sella Holding in June 2023. BonelliErede represented illimity Bank with a multidisciplinary team composed by: Giuseppe Rumi (leader of the Banks Focus Team), Maria Cristina Storchi, Michele Cisolla and Lorenzo Di Meo.
