Osborne Clarke advised the shareholders of the Würzburg AI start-up Scoutbee on the sale of the company to Coupa. The transaction sees US-based Coupa, an AI-enabled platform for Total Spend Management, acquire Scoutbee to expand its supplier intelligence and discovery capabilities and strengthen its global network of buyers and suppliers. Scoutbee, founded in Würzburg in 2015 by Gregor Stühler and his co-founding team, operates an AI-enabled platform that combines a comprehensive dataset, intelligent search and collaborative tools to connect buyers and suppliers. The solution enables companies to identify suitable suppliers more quickly, simplify onboarding and make data-driven procurement decisions. Scoutbee completed three funding rounds totalling USD 76 million, expanded into Silicon Valley in 2019 and counted customers such as Audi, Siemens, Airbus, Unilever and Bosch Rexroth. Under the acquisition, existing Scoutbee customers are expected to benefit from the broader reach of the Coupa platform, while Coupa users will gain access to Scoutbee’s AI search engine and supplier intelligence. As part of the integration, Scoutbee’s AI-based supplier discovery, data matching and network functions will be migrated to the Coupa platform to increase transparency, efficiency and resilience in global procurement processes. Osborne Clarke represented the shareholders of Scoutbee with a team composed by: Robert Marx (team lead), Till‑Manuel Saur (responsible Partner), Dr Paul Rhode (Corporate / M&A), Benedikt Hülsmann (Corporate / M&A), Giovanni Alexandrov (Corporate / M&A), Florian Merkle (Tax), Ann‑Kristin Lochmann (Tax), Patrick Seiler (Tax), Adrian Schneider (IT) and Laura Valeske (Legal Project Management).
