A&O Shearman Advises DSBJ on Acquisition of GMD Group and Restructuring of Its Financial Debt

A&O Shearman advised DSBJ PTE. LTD., a subsidiary of Suzhou Dongshan Precision Manufacturing Co., Ltd (DSBJ), in connection with the acquisition of Groupe Mécanique Découpage (GMD) and the restructuring of GMD's financial debt. The transaction involved the takeover of GMD, a leading French automotive supplier with operations in France and internationally, by DSBJ, one of the main manufacturers of components for the electronics, telecommunications and automotive sectors. The shareholders of GMD and DSBJ organised the takeover, and the parties together with the bank and bond creditors of the GMD group reached an agreement providing for the acquisition of the entire share capital of GMD and the restructuring of its bank and bond debts. The operations contemplated by that agreement were approved by the Nanterre Economic Activities Court and were finalised on Wednesday, 30 October 2025. The transaction enables DSBJ to develop its activities in Europe.
