Law firms in the acquisition of Orion by PAI Partners

PedersoliGattai, Latham & Watkins, Cleary Gottlieb and Chiaravalli Reali e Associati advised PAI; LCA Studio Legale advised the sellers; A&O Shearman advised the lenders."

PedersoliGattai, Latham & Watkins, Cleary Gottlieb and Chiaravalli Reali e Associati advised PAI Partners in the transaction, while LCA Studio Legale represented the sellers and A&O Shearman acted for the financing banks. PAI Partners has completed the acquisition of Orion, an Italian provider of environmental monitoring services, from Xenon Private Equity. Originally founded in 1988, Orion developed into a multi-specialist platform delivering integrated solutions across four verticals: water, air quality, emissions control and technical asset optimisation. The acquisition of Orion is the first investment executed through the PAI Mid‑Market Fund II, PAI’s second fund focused on mid‑market opportunities. PedersoliGattai represented PAI Partners with a team composed by: Antonio Pedersoli (partner, corporate & M&A), Jean‑Daniel Regna‑Gladin (partner, corporate & M&A), Gregorio Lamberti (partner), Chiara Guidi (partner), Mimosa Viglietti (associate), Luigia Romano (associate), Nicola Martegani (who coordinated legal due diligence) and Valentina Martinotti (who coordinated legal due diligence).
