UGGC Avocats advises Hôpital Foch and Institut Curie on takeover of Institut Mutualiste Montsouris

UGGC Avocats advised Hôpital Foch, in partnership with Institut Curie, in connection with the acquisition of Institut Mutualiste Montsouris. The transaction follows the placement of Institut Mutualiste Montsouris (IMM) into judicial reorganisation by judgment of the tribunal des activités économiques dated 3 February 2025. The court appointed Me Carole Martinez with Me Marine Pace and Me Charles-Henri Carboni as judicial administrators, and Me Yohann Yang-Ting and Me Valérie Leloup-Thomas as judicial representatives. The offer submitted by Hôpital Foch in partnership with Institut Curie was accepted by the Paris commercial court by judgment dated 14 October 2025. The approved plan allows for the preservation of all hospital staff and of all operational activities. Institut Mutualiste Montsouris, one of France’s principal private non-profit hospitals of collective interest (ESPIC), is located in Paris’s 14th arrondissement. It operates 485 beds, employs more than 1,626 staff and 270 doctors, and handles approximately 55,000 inpatient stays, 250,000 consultations and over 2,000 births each year. The takeover by Hôpital Foch and Institut Curie forms part of a strategic alliance intended to strengthen hospital services in the face of the growing fragility of independent structures. Hôpital Foch is one of the largest hospitals in the Île-de-France region, with some 2,300 employees including nearly 300 physicians, 611 installed beds, roughly 260,000 consultations (excluding maternity and emergency) and more than 60,000 hospitalisations per year. The hospital is noted for its high-level multidisciplinary care across most adult medical and surgical fields, significant involvement in teaching, training and research, and a modern medical-technical platform. Institut Curie, France’s leading cancer centre, combines internationally recognised research with a state-of-the-art hospital network treating all cancers, including rare forms. Founded in 1909 by Marie Curie, Institut Curie operates across three sites (Paris, Saint-Cloud and Orsay) and brings together nearly 4,000 researchers, physicians and healthcare professionals around its three core missions: care, research and education.
