Darrois Villey Maillot Brochier advised Banijay Group and Betclic on acquisition of majority stake in Tipico Group

"Darrois Villey Maillot Brochier, VGG & Associés and Kirkland & Ellis LLP advised Banijay Group and Betclic on a transaction to combine Betclic and Tipico. Banijay will acquire a majority stake in the combined entity, buying a significant portion of CVC’s stake in Tipico. Betclic and Tipico enterprise values were reported at €4.8bn and €4.6bn respectively."

Darrois Villey Maillot Brochier, VGG & Associés and Kirkland & Ellis LLP advised Banijay Group and Betclic in connection with the transaction described below. Banijay Group has signed a binding agreement with CVC and the founders of Tipico to combine Betclic and Tipico, under which Banijay will become the majority shareholder of the combined entity. As part of the transaction, Banijay Group will acquire in cash a significant portion of CVC’s stake in Tipico. All current shareholders of Betclic and Tipico, including their respective founders, will become shareholders of the combined entity. The transaction will bring together two leading, similarly sized operators under Banijay Gaming, creating a European champion in sports betting and online gaming supported by highly experienced management teams. Under the terms current to the agreement, the enterprise values attributed by the parties were €4.8 billion for Betclic and €4.6 billion for Tipico.
