Grupo Echevarne acquires Aspy Global Services from Atrys Health for €145 million

ViaLegis advised Grupo Echevarne, and Pinsent Masons advised Atrys Health in the transaction. Grupo Echevarne has acquired Aspy Global Services, the prevention subsidiary of Atrys Health, for €145 million. The transaction involves the sale of 100% of Aspy’s share capital and was announced by Atrys to Spain’s National Securities Market Commission (CNMV). The purchase price will be paid at closing and is subject to standard net debt adjustments. The parties have agreed an additional contingent payment of up to €5 million payable if Grupo Echevarne resells Aspy to a third party within one year of closing at a higher valuation. The deal remains subject to regulatory approvals and to the approval of Atrys’ general shareholders’ meeting. Atrys expects completion and settlement to take place during the first quarter of 2026. Atrys, a provider of telemedicine and medical services, said the divestment of its prevention division aligns with its strategic focus on business areas with greater growth and profitability potential and will materially reduce its current debt levels.
