"Jones Day and Hogan Lovells Advise on Santander Consumer Bank's €500 Million Auto Loan and Personal Loan Securitization"

"Jones Day and Hogan Lovells provided legal assistance for Santander Consumer Bank's new securitization operation, involving loans for vehicle purchases and personal financing, valued at approximately €500 million. The operation adhered to European STS regulations and involved asset-backed securities issued by Golden Bar (Securitisation) S.r.l., with ratings from DBRS and Fitch. Banco Santander acted as the Arranger, while HSBC and Societe Generale were Joint Lead Managers for the rated securities."

Jones Day and Hogan Lovells provided legal assistance in connection with a new securitization transaction involving receivables from auto loans and personal loans granted by Santander Consumer Bank (part of the Santander Group) to its customers during the year. The transaction is valued at approximately 500 million euros. The securitization was structured in accordance with Italian Law 130/1999 (the securitization law) and complied with the "simplicity," "transparency," and "standardization" (STS) requirements set forth by European regulation (EU Regulation 2017/2402). Prime Collateralised Securities (PCS) EU SAS acted as the third-party verifier of these requirements. Asset-backed securities were issued by the special purpose vehicle Golden Bar (Securitisation) S.r.l., with Class A, B, C, D, E, and F securities rated by DBRS and Fitch, listed on the Luxembourg Stock Exchange, and placed on the market. Conversely, Junior Class Z securities were unrated and unlisted. Banco Santander S.A. acted as the Arranger, while Banco Santander, HSBC, and Societe Generale served as Joint Lead Managers for the Class A, B, C, D, E, and F securities. Jones Day assisted Santander Consumer Bank as drafting counsel with a multi-jurisdictional team led by partners Vinicio Trombetti and Giuseppina Pagano, supported by associate Dario Cidoni and junior professionals. Tax aspects were handled by Of Counsel Carla Calcagnile. Partners Ulf Kreppel (Frankfurt) and Andrew Rotenberg (London) provided advice on English law matters, while Of Counsel Melissa Mitchum (New York) assisted with U.S. law aspects. Hogan Lovells assisted the Arranger and Joint Lead Managers as reviewing counsel with a multi-jurisdictional team led by partner Annalisa Dentoni-Litta, supported by senior associate Pietro Tirantello and trainee Federico Bastoni. English law aspects were handled by counsel Ailsa Davies and associate Joanna Veitch from the Paris office.
