Alma LED and Simmons & Simmons participated in the transaction, assisting Newport & Co and Hampton River Partners, respectively. The transaction involved the establishment of Newport & Co, a new serial acquirer holding company with permanent capital and operational headquarters in Verona. Newport & Co is dedicated to acquiring small and medium-sized corporate carve-outs and corporate divestitures across Europe. The company is a joint initiative by Newport Investments, a firm specializing in corporate carve-out and divestiture operations, and Hampton River Partners, a U.S.-based investment fund headquartered in Austin, Texas. The legal team assisting Newport & Co included Francesco Stocco, partner at Alma LED, for legal aspects; Marta Grazioli and the sustainable finance team; Federico Baratta of Bonafè Grifoni Associati; and Marco Messina of PwC for tax matters, incentive plans, and corporate aspects. Simmons & Simmons assisted Hampton River Partners with a multidisciplinary team coordinated by partners Marco Muratore and Raghav Ghai. The team included managing associate Paolo Guarneri and associate Carla Nuzzolo for corporate aspects; partner Stefano Lava and supervising associate Marco Bono for employment law matters; and partner Marco Palanca and associate Giulia Ricigliano for tax-related issues.
