"Davis Polk Advises on $3.6 Billion Financing for Qnity Electronics Spin-Off from DuPont"

"Davis Polk advised on the financing of Qnity Electronics' spinoff from DuPont, involving a $2.35 billion term loan, a $1.25 billion revolving facility, and a $1.75 billion senior notes offering. The funds will support Qnity Electronics' operations as an independent company focused on semiconductor technologies and advanced connectivity. Qnity Electronics is now listed on the NYSE with a market capitalization of $19.56 billion as of October 2025."

Davis Polk advised the joint lead arrangers and administrative agent in connection with the financing provided to Qnity Electronics, Inc., which was established as an independent company following its spinoff from DuPont de Nemours, Inc. The transaction involved the establishment of $2.35 billion term loan B facility and a $1.25 billion revolving facility to support Qnity Electronics' operations as a standalone entity focused on semiconductor technologies and advanced connectivity. Additionally, proceeds from a $1.75 billion senior notes offering were released to fund a portion of a cash distribution to DuPont and cover fees and expenses related to the offering.
