"A&O Shearman advised a banking syndicate on a €550 million pan-European green financing deal for Ardian and Rockfield Real Estate. The financing supports the acquisition of a portfolio of Purpose Built Student Accommodation (PBSA) across Germany, Spain, France, and the Netherlands, with additional funding for investments in Italy. The transaction marks a significant step in Ardian and Rockfield's European strategy in the student housing sector. Allen & Overy Shearman advised the banking syndicate, while Gide Loyrette Nouel and Linklaters represented the borrowers, Ardian and Rockfield Real Estate. The transaction involved the establishment of a €550 million pan-European green financing facility granted to Ardian and Rockfield Real Estate for the acquisition of a pan-European portfolio of Purpose Built Student Accommodation (PBSA). The financing included approximately €450 million in bank loans for asset acquisitions in Germany, Spain, France, and the Netherlands, with ING, Société Générale CIB, and HSBC Continental Europe acting as mandated lead arrangers. ING also acted as agent and global coordinator. Additionally, the financing included over €100 million to support existing investments in Italy. The Allen & Overy Shearman team was led in Paris by Caroline Delavet (partner), with Anas Benmalek and Dusan Vukanovic (associates) handling financing aspects, Xavier Jancène (partner) and Alix Pallier (senior associate) addressing real estate law matters, and Mathieu Vignon (partner) and Carole El-Beze (associate) focusing on tax aspects.
