Creamy Creation specializes in dairy and plant-based cream liqueurs, as well as ready-to-drink alcoholic beverages, with a strong global presence. This acquisition aligns with STOCKMEIER's growth strategy and enhances its international market position. Legal support for the transaction was provided by CMS and Baker Hostetler."

CMS and Baker Hostetler provided legal assistance in the transaction between STOCKMEIER Holding SE and CC Holding Laren B.V. CMS advised the STOCKMEIER Group, while Baker Hostetler supported the transaction in the USA. STOCKMEIER Holding SE, through its subsidiary Stockmeier Netherlands Food Holding B.V., acquired all shares in CC Holding Laren B.V. This strategic acquisition enhances STOCKMEIER's presence and product portfolio in the European and American markets for chemicals, flavours, and food ingredients. The target company, Creamy Creation, specialises in the development and production of traditional dairy cream liqueurs, plant-based cream liqueurs, and ready-to-drink alcoholic beverages, serving leading spirits brands globally. The CMS team in Germany was led by Richard Mitterhuber and Dr Thomas Mühl, who provided comprehensive legal advice during the bidding process, including cross-border due diligence, negotiation of the share purchase agreement (SPA), and assistance with W&I insurance. On the Dutch side, an interdisciplinary CMS team was led by Pieter van Duijvenvoorde. Baker Hostetler supported the transaction in the USA. The CMS teams in Germany and the Netherlands have extensive experience in international M&A transactions.
